Hosting Service Agreement

Description of Services:

This Hosting Service Agreement (“Service Agreement”) governs your use of Integrated Creative Company’s (ICC) Hosting services (“Hosting Services”). Within our hosting services, we offer three packages:

  1. Diagnostic Plan: Includes hosting for 1 WordPress site, 3 hours of development time per year, up to 25,000 visits per month, 6GB for your site content, SSL for your domain, clone of live site for experimentation, CDN for faster site performance, slack/email alerts of issues, nightly backups & daily virus scans, WordPress updates, plugin + theme updates, and 24×7 support by ICC.
  2. IT Hosting Plan: Includes hosting for 1 WordPress site, 20 hours of development time per year, up to 50,000 visits per month, 6GB for your site content, SSL for your domain, clone of live site for experimentation, CDN for faster site performance, slack/email alerts of issues, nightly backups & daily virus scans, WordPress updates, plugin + theme updates, and 24×7 support by ICC.
  3. Design Team Hosting Package: Includes hosting for 1 WordPress site, unlimited visits per month, 5-7 hours of development time per month (totaling 84 hours per year), changes, updates, new implementations, unused hours roll over for larger projects, and all features included in the previous packages.

If you have recently received a website developed by Integrated Creative Company & have received an invoice for hosting:

“YOUR SITE IS YOURS” – IF YOU DO NOT WISH TO USE A HOSTING PACKAGE BUT PLAN TO PAY FOR AD HOC SERVICES IN THE FUTURE AT OUR AGENCY RATE OF $100/HOUR, WE SUGGEST MAINTAINING HOSTING DIRECTLY THROUGH ICC. LET US KNOW, AND WE WILL HELP YOU TRANSFER HOSTING TO YOUR ICC ACCOUNT OR TO A HOSTING SERVICE OF YOUR CHOICE.

Account Termination; Limitations:

  • Migration of Servers: ICC may need to migrate servers as a normal course of business. Consequently, even with a dedicated IP, you may be assigned a different IP number. ICC does not warrant consistent maintenance of given IP numbers.
  • Termination of Hosting Services: Upon expiration or termination of Hosting Services, you must discontinue use and relinquish use of assigned IP addresses and server names. Prior to termination, you’re responsible for moving your website or server content. ICC will not transfer or FTP content to another provider. Failure to move content prior to cancellation results in deletion of such content.
  • Storage Capacity: Usable storage capacity may differ from represented capacity due to required space for operating systems, system files, and supporting files. Hosting Backup plans may have storage limits.

Your Obligations; Representations and Warranties:

  • Justification: ICC has the right to seek justification for your use of Hosting Services, particularly the purchase of IP addresses. You’re obligated to provide reasonable information. Your name and justification may be disclosed to certain registries.
  • Abusive Activities and Other Threats: You may not use ICC servers and your website for abusive activities threatening network stability or damaging systems of ICC, customers, or third-parties.
  • Storage and Security: You’re solely responsible for preventing loss or damage to your website or server content, maintaining independent backups, and ensuring security. ICC servers are not archives, and ICC assumes no liability for content loss or damage.
  • Website/Server Content: You’re responsible for providing, updating, uploading, and maintaining your website or server content. During technical assistance, ICC support staff may modify or remove content. Your website or server content includes registered domain names provided by you.

Ownership Transfer:

In the event that Integrated Creative Company (ICC) undergoes a change of ownership or is sold, this Hosting Service Agreement and your hosting contract rights shall remain intact and binding. Your rights and obligations under this agreement shall continue without interruption, and will be continued under the new company name and title.
